The following Benefits Terms shall additionally govern Your Home Use Benefits.
1. DEFINITIONS
The following terms shall have the meanings set forth below. Capitalized terms used and not otherwise defined in these Benefits Terms shall have the meaning assigned to them in Your Autodesk Maintenance Plan Agreement or Subscription Agreement for multi-user (as applicable).
“Ancillary Product”: means any product or software (other than an Eligible Version of Covered Software or any Ancillary Services or Support) which Autodesk may furnish to You from time to time as a Benefit of Your Maintenance Plan or Subscription for multi-user (as applicable) and which is further described at Autodesk Account. Ancillary Products may include, but are not limited to, tools and other discrete products that require a separate Installation and function independently of an Eligible Version of Covered Software.
“Ancillary Services”: any services, including but not limited to Web Services, (other than an Eligible Version of Covered Software or any Ancillary Products or Support) which Autodesk may make available to You from time to time as a Benefit of Your Maintenance Plan or Subscription for multi-user (as applicable) and which (where applicable) are further described at Autodesk Account.
“Eligible Version of Covered Software” means the latest version of Covered Software made generally available by Autodesk in the Territory, and any previous versions of Covered Software for which You have been granted Previous Version Rights Benefits pursuant to Your Maintenance Plan Agreement or Subscription Agreement for multi-user (as applicable) (“Previous Versions”), and which are listed on the Home Use Product Eligibility List set forth on or accessible from Autodesk Account.
“Support”: means the program offered generally by Autodesk under which Autodesk may provide (among other things) technical support services as a Benefit of Your Maintenance Plan or Subscription for multi-user (as applicable) and which is further described at Autodesk Account.
"Web Services" means web- or cloud-based services requiring a connection to the Internet, and services or functionality that are hosted or otherwise made available, on servers owned or operated by or for Autodesk or its designee, or by separate entities not related to Autodesk.
2. HOME USE BENEFITS
2.1Notwithstanding anything to the contrary contained in the applicable Autodesk License and Services Agreement relating to an Eligible Version of Covered Software or an Ancillary Product, You may Install and Access, or You may permit Your employees to Install and Access, a second copy of an Eligible Version of Covered Software and/or any Ancilliary Product on a Computer located in the Territory but away from Your business site (including a work-provided or personally owned Computer located at Your employees’ home) to be used solely for Your own internal business needs, in accordance with the applicable Autodesk License and Services Agreement as modified or supplemented by these Benefits Terms and any applicable Previous Version Benefits Terms or applicable Ancilliary Product Benefits Terms. Such internal business needs may include, but are not limited to, employee training and education with respect to the Eligible Versions of Covered Software and/or any Ancilliary Product.
2.2 The copy of the Eligible Version of Covered Software and/or Ancilliary Product Installed and Accessed at Your work location is commonly referred to as the “Primary License” and the copy of the Eligible Version of Covered Software and/or Ancilliary Product Installed and Accessed away from Your work location is commonly referred to as the “Home Use License”. Home Use Benefits are not available for all versions of Covered Software and/or Ancilliary Products or in all countries.
2.3 If Autodesk or a reseller provides You with a Switched Subscription, then from the commencement of that Switched Subscription You may continue to Install and Access, or You may permit Your employees to continue to Install and Access, any Home Use License for the remainder of the authorised term of that Home Use License provided (i) the Eligible Version of the Covered Software and/or Ancillary product to which that Home Use License relates, is included in the Switched Subscription, and (ii) You or Your employees’ Installation and Access to that Home Use License continues to comply at all times with these Home Use Benefits Terms, or the Home Use Terms applicable to that Switched Subscription.
3. HOME USE BENEFITS CONDITIONS
3.1 Your Home Use Benefits are subject to all of the following conditions:
3.1.1 The number of Home Use Licenses You Install and Access, or You permit Your employees to Install and Access, shall not exceed the number of copies of the Primary License covered by Your Maintenance Plan or Subscription for multi-user (as applicable) which are permitted to be Installed and Accessed by the applicable Autodesk License and Services Agreement or applicable Subscription Agreement for multi-user (as applicable) and any applicable Previous Version Benefits Terms and Ancilliary Product Benefits Terms.
3.1.2 You must follow the processes and policies set out from time to time by Autodesk to obtain Home Use Licenses;
3.1.3 Home Use Licenses may not be Accessed concurrently with the Primary Licenses to which they relate;
3.1.4 Your right to Install and Access a Home Use License shall commence on the date of the issuance of the authorization code for that Home Use License from Autodesk and shall continue until the earlier of (1) termination or expiration of Your Maintenance Plan or Subscription Agreement for multi-user (as applicable) or (2) the date which is thirteen (13) months from such commencement date (at which time that Home Use License will cease to function);
3.1.5 Home Use Licenses are not eligible to be upgraded and will not be replaced by Autodesk if lost, stolen or destroyed;
3.1.6 Support is not available for Home Use Licenses;
3.1.7 Permission granted by You to Your employees to Install and Access (a) Home Use License(s) must be terminated by You immediately if that/those employee(s) leaves Your employment. Continued Installation and Access of (a) Home Use License(s) by (a) former employee or any third party who is not Your employee shall constitute a breach of Your Maintenance Plan Agreement or Subscription Agreement for multi-user (as applicable) and of Your applicable Autodesk License and Services Agreement; and
3.1.8 requests for Home Use Licenses must be submitted in accordance with the process set out by Autodesk at its discretion from time to time.
